1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of the website published at qadrats.com and any of its subdomains (the "Website"), operated by SIA "Qadrats", a company registered in the Republic of Latvia under registration number 40203493507, VAT number LV40203493507, with its registered office at Kugu street 28-5, Riga, LV-1048 ("Qadrats", "we", "us", "our").

By accessing or using the Website you confirm that you accept these Terms, our Privacy Policy and our Cookie Notice, and that you agree to be bound by them. If you do not accept them, you must stop using the Website immediately. Where you use the Website on behalf of a legal entity, you confirm that you are authorised to bind that entity, and "you" refers to that entity.

2. About the Website

The Website provides general information about our services. It does not constitute an offer within the meaning of Section 1533 of the Latvian Civil Law, nor does it constitute legal, financial, technical or other professional advice.

Paid services, trials, proofs of concept and any other engagement are governed by a separate written agreement signed by both parties. In the event of a conflict between such an agreement and these Terms, the signed agreement prevails in respect of that engagement.

3. Eligibility

You must be at least 18 years old and have full legal capacity to enter into a binding contract. You may not use the Website if you are subject to European Union, United Nations or other applicable sanctions, if you appear on any applicable sanctions or restricted-party list, or if your use would breach export-control or sanctions rules applicable to you or to us.

4. Changes to the Terms and to the Website

We may amend these Terms at any time. The version published on this page is the version in force, and the date at the top shows when it was last changed. Where changes are material, we will take reasonable steps to highlight them. Your continued use of the Website after a change takes effect constitutes acceptance of the amended Terms.

We may also modify, suspend or discontinue any part of the Website at any time, without notice and without liability to you.

5. Privacy and cookies

Personal data submitted through the Website is processed as described in our Privacy Policy, which forms part of these Terms. The Website uses only strictly necessary cookies unless you consent to others through our consent management tool; you may withdraw or change that consent at any time through the "Cookie settings" link in the footer.

6. Intellectual property and limited licence

All content on the Website — including text, graphics, layout, the Qadrats name and mark, illustrations, photographs, source code and software — is owned by us or used under licence, and is protected by the Latvian Copyright Law, EU law and international treaties.

We grant you a limited, non-exclusive, non-transferable, non-sublicensable and revocable licence to access and view the Website for your own internal, informational and non-commercial purposes. You may not, except as permitted by mandatory law:

  • reproduce, distribute, publicly communicate, adapt or create derivative works from any part of the Website;
  • decompile, disassemble or reverse engineer any part of the Website or attempt to derive its source code;
  • remove or obscure any copyright, trade mark or other proprietary notice;
  • use any content in a manner suggesting an affiliation with, or endorsement by, Qadrats that does not exist;
  • use the Website or its content to train machine-learning models without our prior written permission.

7. Feedback and submissions

If you send us ideas, suggestions, feature requests or other feedback, you grant us a worldwide, perpetual, irrevocable, non-exclusive, royalty-free and sublicensable licence to use, reproduce and exploit that feedback for any purpose, without any obligation of compensation, attribution or confidentiality. Please do not send us confidential information through the Website; use a signed non-disclosure agreement instead, which we are happy to put in place.

8. Third-party links and services

The Website may link to third-party websites and services. Those links are provided for convenience only. We do not control, endorse or accept responsibility for third-party content, products, services or privacy practices, and your use of them is at your own risk and subject to their own terms.

9. Acceptable use

You agree not to:

  • use the Website in breach of any applicable law, including sanctions and export-control law;
  • impersonate any person or misrepresent your affiliation with any person or entity;
  • attempt to gain unauthorised access to the Website, its servers, or any connected system or network;
  • probe, scan or test the vulnerability of any system without our prior written permission;
  • use automated means to scrape, harvest or systematically extract content, or place unreasonable load on our infrastructure;
  • introduce malware, or otherwise interfere with the proper functioning of the Website;
  • submit false, misleading, abusive or unsolicited commercial content through our forms;
  • infringe the intellectual property, privacy or other rights of any person.

We may restrict, suspend or terminate your access to the Website where we reasonably suspect a breach of this clause, without notice and without liability.

10. Availability and maintenance

We aim to keep the Website available, but we do not warrant uninterrupted or error-free access. We may carry out maintenance, updates and changes at any time. We accept no liability for downtime, delays, interruptions or loss of data arising from the unavailability of the Website.

11. Notice of intellectual property infringement

If you believe that material on the Website infringes your rights, email us at info@qadrats.com with: a description of the work concerned; the exact location of the material on the Website; your contact details; and a statement, made in good faith, that the use is not authorised by the rights holder or by law. We will review the notice and may remove the material or refer the matter to the competent authorities.

12. No professional advice and no reliance

Content on the Website, including articles, cost ranges and technical opinions, is general information only. It is not advice, and it does not take account of your specific circumstances. Any reliance you place on it is at your own risk. Cost figures published in articles are indicative and are not quotations.

13. Disclaimers

To the fullest extent permitted by applicable law, the Website and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, security or non-infringement.

Nothing in this clause limits rights that consumers have under the Latvian Consumer Rights Protection Law or other mandatory consumer protection legislation.

14. Limitation of liability

To the fullest extent permitted by applicable law, we exclude liability for any indirect, incidental, special, consequential or punitive loss, and for any loss of profit, revenue, business, goodwill, anticipated savings or data, arising out of or in connection with your use of the Website.

Where our liability cannot lawfully be excluded, it is limited to the amount you have paid to us, if any, in respect of the Website in the twelve months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under Latvian law.

15. Indemnity

You agree to indemnify and hold us harmless against any claims, damages, losses and reasonable costs (including legal fees) arising from your use of the Website, your breach of these Terms, content you submit, or your infringement of the rights of any third party. We may, at our own expense, participate in the defence of any such claim.

16. Governing law and jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the law of the Republic of Latvia. The courts of the Republic of Latvia, with venue in Riga, have exclusive jurisdiction over any dispute, except that a consumer may also bring proceedings in the courts of their country of residence, as provided by EU law.

Consumers resident in the European Union may also use the European Commission's online dispute resolution platform at ec.europa.eu/consumers/odr, or contact the Latvian Consumer Rights Protection Centre (Patērētāju tiesību aizsardzības centrs).

17. Notices and contact

Formal notices to us must be sent by email to info@qadrats.com or by registered post to SIA "Qadrats", Kugu street 28-5, Riga, LV-1048. We may give notice by publishing it on the Website, by email, or by any other reasonable means.

18. General

  • Entire agreement. These Terms, together with the Privacy Policy and Cookie Notice, form the entire agreement between you and us regarding the Website.
  • No waiver. A failure to enforce any provision is not a waiver of the right to enforce it later.
  • Severability. If any provision is found invalid or unenforceable, the remaining provisions continue in full force, and the invalid provision is replaced by a valid one reflecting its original intent as closely as possible.
  • Assignment. You may not assign your rights under these Terms without our written consent. We may assign ours to a successor in connection with a merger, acquisition or transfer of assets.
  • Force majeure. We are not liable for failure to perform caused by events beyond our reasonable control.
  • No partnership. Nothing in these Terms creates a partnership, agency or employment relationship between us.
  • Language. These Terms are published in English. A Latvian translation may be provided for convenience; in case of discrepancy, the English version prevails except where mandatory law requires otherwise.
